License Agreement for the Use of a Work in Standardization Process

Terms and Conditions:

1. By downloading and/or using the Work as defined below, you acknowledge and agree that Zylia Spółka z ograniczoną odpowiedzialnością with its legal seat in Poznań, ul. Umultowska 85, 61-614 Poznań, Poland, entered into Court Register under number KRS 0000270693, NIP 5252380826, REGON 140778047 grants you a non-exclusive, royalty-free, and effective worldwide license to use the Work in a scope defined in this License Agreement.

2. Zylia declares that it owns all the copyright and proprietary rights to the Work titled “Wyspa” (Island) and “Napięcie” (Tense) composed by Przemysław Śledź and to the recordings of the said Work (hereinafter: the Work). 

3. The recording of the Work was made using 9 ZYLIA ZM-1 Microphones available at www.zylia.co

4. Zylia hereby grants to the User a non-exclusive, royalty-free license effective worldwide to use the Work in the standardization process of MPEG-I 6DoF VR, including test proceedings, research, and public presentations. 

5. The User may copy, modify or change the Work for the purpose of a standardization process.

6. Any other use of the Work is forbidden.

7. Upon this License Agreement, no copyrights are transferred to the User. The User shall have no right to sell, resell, license, perform or transfer the Work.

8. Zylia shall not be liable for any indirect, special, or consequential damages, including but not limited to loss of anticipated profits, in connection with or arising from this License Agreement and/or use of the Work. IN NO EVENT SHALL ZYLIA BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE WORK OR THE USE OR OTHER DEALINGS IN THE WORK.

9. Zylia shall have the right to assign this License Agreement to any party with whom Zylia shall merge or consolidate.

10. Zylia may terminate this License Agreement with a three-day notice.

11. The Agreement is subject to Polish law.
